Annual Meeting (Town Hall) and BOD Meeting Minutes
Sunday Nov 7, 2021
1) Call Meeting to Order 2:06 pm (Adam)
2) Attendance and verification of quorum, notice given or waiver of notice 10 owners present, 1 proxy, no quorum so a town hall was held
3) Reading/Approval of Minutes from last annual meeting on 11/8/20 waived due to no quorum
4) Reports of Officers: President (Adam), Vice President (Randy) and Treasurer (Eydie in lieu of Treasurer)
- Review Month-End Financials and YTD Financials
- Status of Accounts - Operating/Reserves
5) Property Manager’s Report (Michael and Eydie, MyHOA-Online.com LLC)
- Year in review
- Covid and compliance--Proc 20-51 lifted in July
- Collections success
- NNO cancelled
6) Old Business
- Board transition--board short 1 director all year
- Annual billing for dues...Notice sent out in December, due by Feb 28
- Discussion regarding revamping the entrance landscaping and possibly restarting the irrigation in terms of costs
7) New Business
- Discussion of Board-approved 2022 annual budget, and vote to ratify Board-approved annual budget--no dues increase
- Nominations from the floor, and elections for 3 board positions (officers to be decided among board at first meeting following the annual meeting)--no vote due to lack of quorum, positions will have to be appointed
- Discussion regarding repairs and painting of perimeter fence
- Discussion regarding why operating fund was so high (a result of not having a reserve study, a pad need to be kept on hand for unexpected expensive repairs, and not having had a reserve fund in the past--currently only about $5K in it).
8) Next HOA Meeting:
National Night out tentatively Tuesday August 2, 2022, time tbd.
Board meeting to immediately follow this meeting for annual officer elections.
9) Motion to and Adjourn Regular Meeting approx. 3 pm (Adam)
A Board meeting occurred immediately following adjournment
Board members present were: Adam, Stephanie and Randy. Management present: Eydie
Motion made seconded and passed unanimously to appoint Marlene and Stephanie to continue their terms for another year until next year when a quorum might be present (board members automatically stay on until their replacements are elected). Motion made seconded and passed unanimously that all officer roles remain the same until next year as well.
A discussion was held regarding fence painting and how to notify owners of needed repairs, Eydie to send a sample card on how other HOAs have done it.
As there was no further business the meeting was adjourned at 3:18 pm.
